By registering for, accessing, or using BIMS (Business & Inventory Management Software), you agree to be bound by the following Terms and Conditions. If you do not agree, please do not register or use the software.

1. About BIMS

BIMS is an All in one Business & Inventory Management Software developed and owned by FMI Tech Solution.

BIMS is not just only a cloud-based system. It is designed to operate in the following modes:

1. Offline Stand-Alone Mode
   Works without internet connection on one or multiple computers within a local network (LAN).
2. Online Stand-Alone Mode
   Works fully online through an internet connection.
3. Hybrid Mode
   Works offline without internet and allows users to sync data to the online server whenever internet becomes available.

2. Registration & Account Creation

• Users must provide accurate and complete business information during registration.
• You are responsible for maintaining the confidentiality of your login credentials.
• FMI Tech Solution reserves the right to suspend or terminate accounts that provide false or misleading information.

3. Subscription & Payments

• BIMS operates on a subscription-based model.
• Payments may be made online via approved payment gateways (including Paystack) or other payment methods approved by FMI Tech Solution.
• Subscription fees may apply to:
  • Software usage
  • Updates and upgrades
  • Online sync services (where applicable)

Failure to renew a subscription may result in limited access to online features, while offline usage may remain subject to license terms.

4. Offline Usage & Data Responsibility

• When using BIMS in offline mode, all data is stored locally on the user’s system.
• Users are solely responsible for:
  • Data backups
  • System security
  • Hardware maintenance

FMI Tech Solution is not liable for data loss resulting from hardware failure, improper shutdown, malware, or user negligence while operating offline.

5. Data Sync & Online Services

• Hybrid and online features require an internet connection for data synchronization.
• Data sync occurs only when initiated by the user or when internet is available, depending on system configuration.
• FMI Tech Solution is not responsible for:
  • Sync failures caused by poor internet connection
  • Conflicts due to delayed synchronization

6. Software License & Usage

• BIMS is licensed, not sold.
• Users may not:
  • Reverse engineer, modify, or redistribute the software
  • Share licenses beyond permitted installations
  • Use the software for illegal activities

Each license is subject to usage limits defined by FMI Tech Solution.

7. Updates & Maintenance

• FMI Tech Solution may release updates to improve performance, security, or features.
• Some updates may require internet access.
• Offline users may need to manually apply updates when provided.

8. Service Availability

• Online services may occasionally be unavailable due to maintenance, upgrades, or unforeseen issues.
• FMI Tech Solution does not guarantee uninterrupted online availability but will take reasonable steps to ensure system reliability.

9. Refund Policy

• Payments made for subscriptions, licenses, or digital services are non-refundable, unless otherwise stated in writing.
• Refund requests, if applicable, are subject to review and approval.

10. Limitation of Liability

FMI Tech Solution shall not be liable for:

• Business losses
• Loss of profits
• Data loss due to user negligence
• Network or internet-related issues beyond our control

11. Termination

We reserve the right to suspend or terminate access to BIMS if:

• Terms are violated
• Payment obligations are not met
• The software is misused

12. Modifications to Terms

FMI Tech Solution may update these Terms & Conditions at any time. Continued use of BIMS after updates constitutes acceptance of the revised terms.

13. Governing Law

These Terms shall be governed and interpreted in accordance with the laws of the Federal Republic of Nigeria.
